1. Nature of confidential information
AIGiner recognizes that, in the course of providing its services, it may have access to confidential information belonging to its clients, including without limitation:
- Information about the client's internal processes, workflows, and operations
- Commercial, financial, and strategic data
- Databases, client and supplier lists
- Source code, algorithms, and proprietary technological developments
- Business plans, projections, and market strategies
- Personal information of the client's employees and customers
Confidential information is understood to be any information marked as such by the client, as well as any information that, by its nature, is reasonably evident to require confidential treatment, regardless of whether it is communicated in writing, verbally, or by any other means.
2. AIGiner's commitments
| Commitment | Description |
|---|---|
| Non-disclosure | We will not disclose our clients' confidential information to third parties without their prior express consent, unless required by law or a final court ruling. |
| Exclusive use for the service | We will use confidential information only for the purposes necessary to provide the contracted service, without applying it to other uses. |
| Restricted access | Access to confidential information will be limited to the personnel strictly necessary to carry out the project, always under confidentiality commitments. |
| Security measures | We will apply appropriate technical and organizational measures (encryption, access control, etc.) to protect confidential information against unauthorized access. |
| Return or destruction | Upon completion of the service, at the client's request, we will return or securely destroy all confidential information received. |
3. Exceptions to confidentiality
The confidentiality commitments will not apply to information that:
- Is or becomes public for reasons not attributable to AIGiner
- Was already in AIGiner's possession before being disclosed by the client, without restriction on use
- Is legitimately obtained from a third party without a confidentiality obligation
- Must be disclosed under legal requirement, administrative request, or court order
- Was developed independently by AIGiner without use of the confidential information
4. Mutual confidentiality
On a reciprocal basis, AIGiner also expects its clients to treat with confidentiality the information disclosed to them regarding our methodologies, proprietary tools, internal processes, and any other information marked as confidential.
In larger-scope projects, AIGiner may request the signing of a specific Non-Disclosure Agreement (NDA) governing both parties' commitments in detail.
5. Duration of the confidentiality commitment
The confidentiality commitment will remain in effect for the entire duration of the contractual relationship and for a period of 3 years thereafter, unless a specific agreement establishes a different period. For particularly sensitive information (trade secrets, strategic data), the commitment will remain in effect indefinitely.
6. Protection of personal data
When the client's confidential information includes personal data, its processing will also be governed by the corresponding data processing agreement and our Privacy Policy, in accordance with the GDPR and the LOPDGDD.
